1. Acceptance of Terms

By accessing our website at prismaiagency.com or engaging any of our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

2. About Prism AI Agency

Prism AI Agency is an AI consultancy and automation business registered in South Africa. We provide AI-powered workflow automation, custom AI agent deployment, chatbot development, document processing systems and related services to businesses globally.

3. Services

Prism AI Agency offers the following categories of services:

All services are subject to a separate written engagement agreement or proposal agreed between the parties prior to commencement of work.

4. Engagements and Payment

4.1 Project Engagements

Each project is governed by a written proposal or statement of work outlining scope, deliverables, timeline and pricing. Work commences only upon written acceptance of the proposal and receipt of any agreed deposit.

4.2 Payment Terms

Invoices are due within 14 calendar days of issue unless otherwise agreed in writing. Late payments may incur interest at the prevailing legal rate. We reserve the right to suspend work on outstanding engagements where invoices remain unpaid beyond 30 days.

4.3 Refunds

Due to the custom and bespoke nature of our services, refunds are evaluated on a case-by-case basis. Where we are unable to deliver agreed services due to circumstances within our control, a pro-rata refund will be issued for undelivered work.

5. Intellectual Property

5.1 Your Materials

All data, documents and materials you provide to us remain your intellectual property. You grant us a limited licence to use these materials solely for the purpose of delivering your project.

5.2 Deliverables

Upon full payment, all custom-built deliverables are assigned to you. We retain the right to use general knowledge, methodologies and non-client-specific approaches developed during engagements in future work.

5.3 Website Content

All content on this website including text, graphics, logos and design is the property of Prism AI Agency and may not be reproduced without written permission.

6. Confidentiality

Both parties agree to keep confidential all non-public information disclosed during the course of an engagement. This obligation survives the termination of any engagement for a period of three years. Client data processed through AI systems is not permanently stored in third-party platforms and is handled in accordance with our Privacy Policy.

7. Warranties and Disclaimers

We warrant that our services will be provided with reasonable skill and care. We do not warrant that AI systems will operate error-free under all conditions, or that outcomes will meet all business expectations in all circumstances.

AI tools and automation systems are provided as-built. Results depend on the quality and availability of your data, your team's adoption and factors outside our control. We will work with you to address issues within 30 days of delivery.

Our website is provided "as is" without warranties of any kind, either express or implied.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Prism AI Agency shall not be liable for any indirect, incidental, consequential or punitive damages arising from your use of our services or website. Our total liability for any claim shall not exceed the total fees paid by you to us in the 12 months preceding the claim.

9. Termination

Either party may terminate an engagement by providing 14 days written notice. Upon termination, you will be invoiced for all work completed to date. We reserve the right to terminate immediately in cases of material breach, non-payment or conduct harmful to our business.

10. Governing Law

These Terms of Service are governed by the laws of the Republic of South Africa. Any disputes arising shall be subject to the exclusive jurisdiction of the South African courts, without prejudice to our right to seek relief in any other jurisdiction.

11. Changes to These Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting. Continued use of our services after changes constitutes acceptance of the revised terms.
